Strategy (MSTR) shareholders have approved an amendment allowing daily dividend accruals on four of its preferred stock series: STRF, STRC, STRK, and STRD. The proposal, which surfaced on September 25 for a special meeting held on October 28, received preliminary support from 99.3% of votes cast, according to Executive Chairman Michael Saylor. Under the new structure, dividends will accrue every calendar day, including weekends and holidays, though payments will still be distributed on the next business day. Strategy stated that this change aims to reduce reinvestment lag, enhance liquidity and market efficiency, and increase price stability for its Digital Credit instruments.
The company indicated that these enhancements could benefit common stockholders by increasing the attractiveness of its preferred equity capital, thereby supporting its ability to execute its Bitcoin Treasury strategy more efficiently. Scheduled dividend rates and total obligations remain unchanged under the amendment. Implementation depends on board approval and operational readiness. If approved, the first record and payment dates for STRC are projected for November 1 and 2, 2026. For STRF, STRK, and STRD, the initial dates would fall on January 1 and 4, 2027. STRC currently pays a variable rate, which was 11.50% for the month ended June 30, 2026, and is designed to maintain a stable $100 price while offering a variable yield.
This vote occurs amid broader market challenges for Strategy. The company’s common stock has declined nearly 50% over the past year, although it remains up approximately 1,000% since initiating its Bitcoin purchases in 2020. Recently, Strategy paused Bitcoin acquisitions for the prior week, maintaining holdings at 848,517 BTC acquired for $64.02 billion at an average price of $75,446 per coin. The firm also spent $204.9 million repurchasing STRC preferred stock while retaining a $4.83 billion cash reserve. This move aligns with practices seen in other Bitcoin-treasury companies, such as Strive, which began paying daily cash dividends on its SATA preferred stock in June.
The shareholder approval of daily dividend accruals represents a tactical refinement of Strategy's capital structure rather than a fundamental shift in its investment thesis. By smoothing out the timing of dividend accumulation, the company seeks to make its preferred stocks—particularly STRC—more attractive to institutional and retail investors who prioritize predictable liquidity and reduced friction in reinvestment cycles. This adjustment addresses specific criticisms regarding the utility of Digital Credit instruments, aiming to stabilize their secondary market prices and ensure consistent demand for the capital raised through these offerings. The high approval rate suggests strong alignment between management and shareholders on the necessity of optimizing these financial tools to sustain the company's aggressive Bitcoin acquisition model.
However, the operational complexity introduced by daily accruals across multiple preferred series requires careful execution. While the total dividend obligation remains unchanged, the administrative burden increases, necessitating robust systems to handle weekend and holiday calculations accurately. Furthermore, this development must be viewed against the backdrop of Strategy's recent pause in Bitcoin purchases and significant stock volatility. The company is effectively leveraging enhanced financial engineering to maintain access to cheap capital during periods of market stress. Investors should monitor whether these structural improvements successfully bolster confidence in STRC and related instruments, or if they merely serve as a stopgap measure amidst broader macroeconomic headwinds affecting Bitcoin treasury companies.
