Meta Platforms' board of directors approved the creation of a new class of non-voting Class C common stock on October 19, 2026. The company disclosed this structural change alongside its third-quarter results, stating that holders of existing Class A and Class B shares will receive one Class C share for each share they own, effective January 19, 2027. This distribution functions as a two-for-one stock split but is designed to preserve Mark Zuckerberg’s voting control while enabling future equity financing without diluting his influence.

According to SEC filings, Zuckerberg currently holds approximately 60.6% of the voting power with only a 13.4% economic interest, largely due to his ownership of Class B shares which carry ten votes per share compared to one vote for Class A shares. The new Class C shares carry no voting rights, allowing Meta to sell equity or use it for acquisitions and compensation without reducing Zuckerberg’s percentage of total votes. Advisers from Moelis informed the board’s special committee that Meta could raise up to $700 billion in equity over several years before Zuckerberg’s voting power would fall below 50%. Management forecasts cited in the filing indicated a potential need to raise "hundreds of billions of dollars" starting as early as fall 2026, though CFO Susan Li clarified during an analyst call that this figure represents a theoretical maximum rather than immediate financing plans.

A Founder Alignment Agreement signed on October 20 restricts Zuckerberg’s ability to sell these new shares; only 20% can be sold freely, while selling the remaining 80% requires him to simultaneously sell or convert matching Class A or B shares, thereby reducing his voting power. The agreement also mandates that Zuckerberg remain a California resident or reside where Meta is headquartered for eight years. Additionally, the board established a mechanism for further Class C dividends if the stock price doubles relative to the September 10 baseline of $580.60, provided shareholder returns compound at 10% annually.
